Welcome to VestNow.

These Terms of Service (“Terms”) govern your access to and use of the websites, digital platforms, programs, subscriptions, newsletters, community features, quizzes, tools, downloads, educational materials, and other products or services offered by VestNow, LLC (“VestNow,” “we,” “us,” or “our”).

These Terms apply to VestNow-operated websites and platforms, including VestNow.io, the VestNow Money & Career Staircase Program, VestNow newsletters and publications, and any related digital products, resources, communities, or services that link to these Terms (collectively, the “Services”).

By accessing, purchasing, subscribing to, registering for, or otherwise using any part of the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the Services.

1. ELIGIBILITY

You must be at least 18 years old, or the age of legal majority in your jurisdiction if higher, and legally capable of entering into a binding agreement to use or purchase our Services.

By using the Services, you represent and warrant that you meet these requirements.

2. ABOUT VESTNOW

VestNow provides educational content, tools, resources, programs, and community experiences focused primarily on personal finance, career development, professional growth, financial confidence, productivity, negotiation, and related topics.

Our Services may include, among other things:

The VestNow Money & Career Staircase Program;
Educational lessons and modules;
Worksheets, templates, guides, and downloadable resources;
Career and financial quizzes, assessments, calculators, or diagnostic tools;
Newsletters and publications;
Community discussions and member spaces;
Career-development resources;
Personal-finance education;
AI-related educational resources and prompts;
Events, workshops, or live sessions;
Free and paid digital content; and
Other products or services introduced from time to time.

We may add, remove, update, modify, or discontinue features or portions of the Services at our discretion.

3. EDUCATIONAL PURPOSES ONLY

VestNow provides education and general informational resources.

Nothing provided through VestNow constitutes individualized financial, investment, legal, accounting, tax, employment, career, medical, psychological, or other regulated professional advice.

Information provided through our Services is not intended to substitute for advice from a qualified professional who understands your individual circumstances.

You are responsible for evaluating information before relying on it and for determining whether any strategy, financial decision, career decision, negotiation approach, investment decision, or other action is appropriate for you.

You should consult an appropriately qualified professional when your circumstances require individualized advice.

4. VESTNOW IS NOT A FINANCIAL INSTITUTION OR ADVISER

VestNow is an education and technology company.

Unless expressly stated otherwise in connection with a separately regulated service, VestNow is not acting as:

A bank;
A broker-dealer;
A registered investment adviser;
A financial planner;
A lender;
An insurance provider;
A tax adviser;
A law firm;
An employment agency; or
A fiduciary.

Using VestNow does not create a fiduciary, advisory, attorney-client, accountant-client, employment, agency, or similar professional relationship between you and VestNow.

Any references to investments, savings accounts, financial products, compensation, salaries, career opportunities, or third-party services are provided for educational purposes unless expressly stated otherwise.

5. NO GUARANTEE OF FINANCIAL OR CAREER RESULTS

We want our Services to help users make more informed and strategic decisions. However, individual results vary.

VestNow does not guarantee that using our Services will result in:

A salary increase;
A promotion;
A job offer;
A successful negotiation;
Higher investment returns;
Increased savings;
Increased wealth;
Debt reduction;
Improved credit;
Employment;
Business success;
Any particular financial result; or
Any other specific outcome.

Examples, case studies, hypothetical scenarios, testimonials, salary figures, projections, illustrations, or success stories are provided for informational purposes and should not be interpreted as promises or guarantees of future results.

Your results depend on numerous factors outside VestNow’s control, including your individual circumstances, decisions, effort, market conditions, employer decisions, economic conditions, and other factors.

6. QUIZZES, ASSESSMENTS, CALCULATORS, AND DIAGNOSTIC TOOLS

VestNow may offer quizzes, assessments, calculators, scores, benchmarks, or diagnostic tools relating to compensation, career positioning, financial health, personal finance, or related subjects.

These tools are educational and informational only.

Results may be generated using information you provide, assumptions, general market data, algorithms, formulas, or other methodologies. They should not be interpreted as definitive determinations of your salary, market value, financial condition, investment suitability, or future outcomes.

No quiz, score, assessment, or diagnostic result constitutes personalized financial, employment, investment, legal, or professional advice.

7. ACCOUNTS

Certain Services may require you to create an account.

You agree to provide accurate, current, and complete information and to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring through your account.

You may not:

Share your login credentials with unauthorized users;
Sell or transfer your account;
Allow multiple people to use an individual subscription unless expressly permitted;
Attempt to access another user’s account; or
Circumvent access restrictions or subscription requirements.

Please notify us promptly if you believe your account has been accessed without authorization.

8. SUBSCRIPTIONS

Certain VestNow Services are offered through recurring monthly or annual subscriptions.

The price, billing frequency, included features, and other applicable subscription terms will be disclosed to you before purchase.

Unless otherwise stated at checkout, subscriptions automatically renew at the end of each applicable billing period until canceled.

By purchasing an automatically renewing subscription, you authorize us or our payment processor to charge the applicable subscription fee and any applicable taxes to your selected payment method at each renewal period until you cancel.

You are responsible for maintaining a valid payment method.

If payment cannot be processed, we may suspend or terminate access to paid Services.

9. FREE TRIALS

VestNow may offer free trials for certain paid Services.

The duration of the trial and the subscription price that applies afterward will be disclosed at the time you enroll.

Unless expressly stated otherwise, if you begin a free trial that requires a payment method, your subscription will automatically convert to the selected paid subscription at the end of the free-trial period unless you cancel before the trial expires.

For example, if you enroll in a 7-day free trial, you must cancel before the end of that 7-day trial period if you do not want your paid subscription to begin.

By enrolling in a free trial, you authorize the applicable charge after the trial period unless you cancel beforehand.

Promotional or complimentary access that does not require payment information may simply expire at the end of the stated promotional period without converting to a paid subscription.

10. PRICING

Current pricing is displayed at the point of purchase.

VestNow may offer different subscription plans, promotional pricing, discounts, introductory offers, complimentary memberships, scholarships, giveaways, or other pricing arrangements.

We reserve the right to change prices for future billing periods.

If the price of an existing recurring subscription changes, we will provide notice as required by applicable law before the new price takes effect.

Unless otherwise stated, prices are listed in U.S. dollars.

Your bank, card issuer, payment provider, or other financial institution may separately impose currency-conversion, foreign-transaction, or other fees. VestNow is not responsible for fees imposed independently by third parties.

11. CANCELLATION

You may cancel a recurring VestNow subscription at any time through the cancellation method made available for the applicable Service or platform.

Unless otherwise stated, cancellation prevents future renewals but does not immediately terminate access that has already been paid for. You will generally retain access through the end of your current paid billing period.

If you purchased a subscription through a third-party platform, such as Substack or another service provider, you may be required to manage or cancel the subscription through that platform.

Cancellation procedures may vary depending on where the subscription was purchased.

12. REFUNDS

Except where required by applicable law or expressly stated at the time of purchase, payments for digital Services and subscription periods that have already begun are non-refundable.

Because users may receive immediate access to digital content, lessons, archives, downloadable resources, community materials, or other Services upon purchase, we generally do not provide refunds solely because a user did not use, complete, or fully participate in the purchased Service.

If you believe you were charged in error, please contact us promptly at ChatWithUs@vestnow.io so we can review the issue.

Nothing in these Terms limits any refund, cancellation, cooling-off, or other consumer rights that cannot legally be waived in your jurisdiction.

13. DIGITAL PRODUCTS AND DOWNLOADABLE MATERIALS

VestNow may provide downloadable guides, worksheets, templates, PDFs, prompts, spreadsheets, checklists, or other digital resources.

Unless expressly stated otherwise, purchases or access rights are granted to you for your personal, non-commercial use only.

Purchasing or downloading a VestNow resource does not transfer ownership of the intellectual property contained in that resource.

You may not reproduce, redistribute, resell, sublicense, republish, upload, share publicly, or commercially exploit VestNow materials without our prior written permission.

14. INTELLECTUAL PROPERTY

The Services and their contents are owned by or licensed to VestNow and are protected by applicable intellectual-property laws.

This includes, without limitation:

VestNow branding;
Names and logos;
Program names;
The VestNow Money & Career Staircase Program;
Lesson structures;
Frameworks;
Written content;
Videos;
Audio;
Graphics;
Designs;
Worksheets;
Guides;
Assessments;
Quizzes;
Templates;
Downloadable materials;
Databases;
Software;
Website content; and
Other original materials.

Subject to your compliance with these Terms, VestNow grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own personal, non-commercial purposes.

No other rights are granted.

15. PROHIBITED USE OF VESTNOW CONTENT

Without prior written permission from VestNow, you may not:

Copy or reproduce substantial portions of our content;
Redistribute paid content to non-members;
Share subscription credentials;
Resell our programs, guides, worksheets, or resources;
Upload our paid materials to file-sharing websites or public repositories;
Republish our content as your own;
Remove copyright, trademark, or ownership notices;
Use our content to create a competing product or service;
Systematically scrape, crawl, extract, harvest, or download our content;
Use automated systems to reproduce or compile our proprietary content; or
Commercially exploit any portion of the Services.

Reasonable sharing of publicly available VestNow social-media or editorial content through ordinary platform sharing functions is permitted.

16. AI TOOLS AND AI-RELATED CONTENT

VestNow may provide educational content concerning artificial intelligence, AI productivity tools, automated workflows, AI prompts, or third-party AI services.

VestNow may also use technology, including automated systems, in connection with certain Services.

AI systems can produce incomplete, inaccurate, biased, outdated, or inappropriate results.

You are responsible for reviewing and verifying any AI-generated output before relying on or using it.

You should not submit confidential, proprietary, regulated, or highly sensitive information to third-party AI tools unless you have independently reviewed and accepted the applicable provider’s privacy and security practices.

VestNow is not responsible for the operation, accuracy, availability, security, or outputs of third-party AI services.

17. COMMUNITY CONDUCT

If you participate in VestNow community spaces, comments, discussions, live sessions, events, or other interactive features, you agree to interact respectfully and lawfully.

You may not use VestNow community features to:

Harass, threaten, intimidate, or abuse another person;
Discriminate against another person;
Post unlawful, defamatory, obscene, or intentionally harmful content;
Impersonate another person;
Share another person’s private information without authorization;
Spam community members;
Solicit members for unrelated commercial purposes without permission;
Promote scams or fraudulent opportunities;
Upload malware or harmful code;
Infringe intellectual-property rights; or
Disrupt the operation or safety of the community.

VestNow may moderate, remove, restrict, or delete content or suspend community access when we reasonably believe these standards or these Terms have been violated.

18. USER SUBMISSIONS AND FEEDBACK

If you voluntarily submit comments, feedback, testimonials, suggestions, ideas, survey responses, reviews, or other materials to VestNow, you retain ownership of any rights you already hold in that content.

However, by submitting such materials to us, you grant VestNow a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, distribute, and display those materials for legitimate business purposes, subject to applicable privacy and publicity laws.

We will obtain any additional permission required by law before using personally identifiable testimonials or endorsements in advertising where such consent is required.

You are responsible for ensuring that anything you submit does not violate the rights of another person.

19. EMAILS AND NEWSLETTERS

If you subscribe to a VestNow newsletter or otherwise request email communications from us, we may send you editorial content, educational resources, product information, announcements, and other communications consistent with the permissions you have provided.

You may unsubscribe from marketing or newsletter emails using the unsubscribe mechanism provided in those emails.

Certain transactional or service-related communications, such as purchase confirmations, account notices, billing information, or material service updates, may still be sent when necessary to provide the Services.

20. SUBSTACK AND OTHER THIRD-PARTY PLATFORMS

VestNow may publish or distribute content through third-party platforms, including Substack.

When you access VestNow through a third-party platform, your use of that platform may also be governed by the platform’s own terms, privacy policy, payment terms, and other rules.

For example, subscriptions purchased through Substack may be processed and managed using Substack and its payment infrastructure and may be subject to applicable Substack terms in addition to these Terms.

VestNow does not control third-party platforms and is not responsible for their availability, security, features, policies, practices, or independent acts or omissions.

If there is a conflict between these Terms and a third-party platform’s mandatory terms regarding that platform’s operation, the third-party platform’s applicable terms may control for that specific platform interaction.

21. THIRD-PARTY PRODUCTS, LINKS, AND SERVICES

Our Services may contain links, references, integrations, recommendations, or access to third-party websites, products, financial services, employers, software tools, platforms, or other resources.

VestNow does not control these third parties.

A reference or link does not necessarily constitute an endorsement.

You are responsible for independently evaluating third-party products and services before using or purchasing them.

VestNow is not responsible for losses, damages, disputes, privacy issues, security incidents, purchases, contracts, or other consequences arising from your relationship with a third party.

22. PROMOTIONS, CONTESTS, AND GIVEAWAYS

From time to time, VestNow may offer promotions, contests, scholarships, sweepstakes, or giveaways.

These activities may be governed by additional eligibility requirements, official rules, deadlines, restrictions, or terms presented in connection with the applicable promotion.

If promotional rules conflict with these Terms regarding the administration of that promotion, the specific promotional rules will control.

23. ACCURACY AND TIMELINESS OF INFORMATION

We make reasonable efforts to provide useful and accurate information, but we do not guarantee that every piece of information made available through VestNow will always be complete, accurate, current, or applicable to your circumstances.

Financial markets, salaries, employment conditions, tax rules, laws, technologies, products, interest rates, economic conditions, and other information can change.

Historical information may be provided for reference and should not be assumed to reflect current conditions.

You are responsible for independently verifying material information before making significant decisions.

24. SERVICE AVAILABILITY

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may modify, suspend, restrict, replace, or discontinue any Service or feature.

We may also perform maintenance, respond to security concerns, change service providers, or modify our technology infrastructure.

Where commercially reasonable, we will attempt to minimize unnecessary disruption to paid Services.

25. THIRD-PARTY HOSTING AND PAYMENT PROCESSING

VestNow uses third-party providers to operate portions of the Services.

These providers may include website hosts, course or membership platforms, newsletter platforms, analytics providers, payment processors, cloud providers, email providers, and other technology vendors.

Your use of certain features may therefore also be subject to applicable third-party terms and privacy policies.

Payment information may be processed by third-party payment processors rather than directly stored by VestNow.

26. PRIVACY

Our collection and use of personal information is governed by our Privacy Policy.

By using the Services, you acknowledge that you have had an opportunity to review our Privacy Policy.

27. PROHIBITED USES

You may not use the Services:

For unlawful or fraudulent purposes;
To violate applicable laws or regulations;
To infringe intellectual-property rights;
To harass, threaten, abuse, defame, or unlawfully discriminate against another person;
To transmit malware or malicious code;
To interfere with the security or operation of the Services;
To attempt unauthorized access to accounts or systems;
To scrape or harvest personal data without authorization;
To spam, phish, or engage in deceptive conduct;
To circumvent paywalls, subscription controls, or security features;
To impersonate another person;
To submit materially false or misleading information; or
For any purpose that violates these Terms.

We may suspend or terminate access when we reasonably believe these rules have been violated.

28. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

VESTNOW MAKES NO GUARANTEE OR WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING THEIR AVAILABILITY, ACCURACY, RELIABILITY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, OR RESULTS.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

29. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VESTNOW, LLC AND ITS FOUNDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, LOSS OF INCOME, LOSS OF SAVINGS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, EMPLOYMENT-RELATED LOSSES, INVESTMENT LOSSES, OR OTHER ECONOMIC LOSSES.

TO THE EXTENT PERMITTED BY LAW, VESTNOW’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO VESTNOW FOR THE APPLICABLE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

30. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless VestNow, LLC and its affiliates, founders, officers, directors, employees, contractors, agents, licensors, and service providers from claims, liabilities, damages, losses, and reasonable legal expenses arising from:

Your material violation of these Terms;
Your unlawful use of the Services;
Content you submit;
Your infringement of another person’s rights; or
Your violation of applicable law.

31. SUSPENSION AND TERMINATION

We may suspend or terminate your access to some or all of the Services if:

You materially violate these Terms;
You misuse the Services;
You engage in fraudulent activity;
Required payments remain unpaid;
Your conduct threatens the security or integrity of the Services or community; or
We are required to do so by law.

Where appropriate and legally required, we may provide notice before termination.

Termination does not eliminate obligations or liabilities that arose before termination.

Sections intended by their nature to survive termination, including intellectual-property, disclaimer, limitation-of-liability, indemnification, and governing-law provisions, will survive.

32. CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes to our Services, business practices, technology, legal requirements, or other circumstances.

The current version will be posted with an updated “Last Updated” date.

If we make material changes that significantly affect existing paid subscribers, we will provide additional notice where required by applicable law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms to the extent permitted by law.

33. GOVERNING LAW

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except where mandatory consumer-protection laws in your place of residence provide otherwise.

Nothing in these Terms deprives a consumer of rights that cannot legally be waived under applicable law.

34. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and, where necessary, severed from these Terms.

The remaining provisions will remain in full force and effect.

35. NO WAIVER

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

36. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any additional terms expressly presented in connection with a specific Service, purchase, promotion, or subscription, constitute the agreement between you and VestNow concerning your use of the Services.

They supersede prior or contemporaneous communications relating to the same subject matter.

37. INTERNATIONAL USERS

VestNow may be accessed by users in multiple countries.

You are responsible for determining whether your use of the Services complies with laws applicable to you.

Certain features, products, payment methods, or Services may not be available in every jurisdiction.

If mandatory consumer laws in your jurisdiction provide protections that cannot legally be waived, those protections remain applicable notwithstanding anything in these Terms.
